Terms of Service

1. Agreement

These terms apply when you use Mi Karchi (www.mikarchi.com), including the website, event pages, tickets, the organizer dashboard and the door check-in app (together, "the Service"). The Service is provided by D&I Business Support Services N.V., doing business as Reshapers, Willemstad, Curaçao ("Mi Karchi", "we", "us").

By using the Service, you agree to these terms. If you use it on behalf of an organization, you confirm you're allowed to accept them for that organization. If you don't agree, please don't use the Service.

2. What Mi Karchi is

Mi Karchi lets organizers publish event registration pages, issue tickets by email and on paper, check guests in at the door (online or offline), and follow registrations and attendance live.

We offer Mi Karchi as a service: our team can set up and run registration, tickets and the door for an event. What exactly is included for an event is set out in a signed quote or agreement (see section 5).

In plain words: Mi Karchi handles sign-ups, tickets and the door. What we do for your specific event is in your quote.

3. For guests

  • Registering through Mi Karchi is free. The event itself is run by the organizer, who sets the rules for entry, capacity, dress code and so on.
  • Your ticket is personal. Anyone who has your QR code or ticket link can use it, so don't share it. Each ticket can only be scanned in once.
  • Give correct details when you register. The organizer may cancel registrations that are false or duplicated.
  • If an event is full, you may be put on a waitlist. A waitlist place doesn't guarantee entry.
  • Questions about the event itself (date, venue, cancellation, access) go to the organizer. Mi Karchi isn't responsible for how an event is run.

In plain words: Your ticket is free and yours only. Keep the QR code to yourself. The organizer is in charge of the event itself.

4. For organizers

Accounts

  • Accounts are by invitation. You need to be 18 or older.
  • Keep your password to yourself and tell us straight away if you think someone else has used your account.
  • Account owners decide who else gets access and in which role (owner, organizer or viewer). You're responsible for what people do with the access you give them.
  • Door codes are shared secrets. Only give them to your door staff, and change them if they leak.

Your data and your guests

  • You own your event content and your guest data. You give us permission to store, display and process it only to provide the Service to you.
  • For guest data, you're the controller and we're your processor. You're responsible for having a valid legal basis to collect it, for the questions you add to the form, and for telling your guests how you'll use their data. Don't ask for sensitive data (such as health, religion or ID numbers) unless you really need it and you're allowed to collect it.
  • After an event, clear the guest list from any door devices, and handle any exports you download with care.
  • We keep event data for 12 months after the event and then delete or anonymise it, unless we agree otherwise in writing. Export anything you need before then.

In plain words: Your guest list belongs to you, and so does the responsibility for it. Look after your password, your door codes and your devices.

5. Quotes, fees and cancellations

Fees, what's included, payment terms and cancellation terms for an event are set out in the quote or agreement you sign with us. If that document and these terms disagree, the signed document takes priority.

6. Acceptable use

Don't use the Service to:

  • break the law or anyone's rights, including privacy and intellectual property rights
  • send spam, or register people who didn't agree to it
  • sell or resell tickets for profit without our written permission
  • copy, forge or tamper with tickets or QR codes
  • try to get into accounts, events or data that aren't yours, or probe, scan or overload our systems
  • copy, reverse-engineer or resell the Service
  • upload anything harmful, such as malware

We may suspend access, void tickets or remove content that breaks these rules. Where we reasonably can, we'll tell you first.

In plain words: Use Mi Karchi fairly and legally. No fake tickets, no spam, no hacking.

7. Intellectual property

Mi Karchi, its software, design, logo and content belong to Reshapers or its licensors. You may use the Service as these terms allow, but you don't acquire any ownership of it. Organizers keep all rights to their own logos, artwork and event content.

In plain words: We own Mi Karchi. You own your event content.

8. Availability and changes to the Service

We work hard to keep Mi Karchi available, especially during events. The door app is built to keep working offline. Even so, we can't promise the Service will always be uninterrupted or error-free. Internet, email providers, devices and hosting can fail. Any specific service levels for your event are in your signed quote or agreement.

We may improve or change features over time. We won't remove a feature an active event depends on without agreeing it with the organizer first.

In plain words: We'll do our best to keep everything running, and the door works even without internet. We can't guarantee perfection.

9. Disclaimers

Except as stated in a signed agreement, the Service is provided "as is" and "as available". As far as the law allows, we make no other promises, for example that the Service will suit a particular purpose.

We aren't responsible for the events themselves, for decisions organizers make about their guests, or for emails that don't arrive because of the recipient's email provider or spam filter.

In plain words: We run the system. We don't run your event, and we can't control other people's inboxes.

10. Limitation of liability

As far as the law allows:

  • we're not liable for indirect or consequential loss, such as lost profits, lost revenue or damage to reputation
  • our total liability for any claim is limited to the fees you paid us for the event or service the claim relates to. If you haven't paid us anything, it's limited to USD 100.

Nothing in these terms limits liability that can't be limited by law, such as liability for intent or gross negligence, or any mandatory consumer rights you have.

In plain words: If something goes wrong, what we owe you is capped at what you paid us. The law's minimum protections still apply.

11. Indemnity

Organizers agree to cover us for claims from third parties, including guests and authorities, that arise from the organizer's event, their guest data practices, or their breach of these terms.

In plain words: If an organizer's own actions get us into legal trouble, the organizer covers it.

12. Ending use

You can stop using the Service at any time. Organizers can ask us to close their account. We may suspend or close accounts that break these terms or stay unused for a long time. Where we reasonably can, we'll warn you first and give you time to export your data.

Sections that are meant to last, such as intellectual property, liability, indemnity and governing law, still apply after an account closes.

In plain words: You can leave whenever you like. If we have to close an account, we'll try to warn you first.

13. Governing law and disputes

These terms are governed by the law of Curaçao. Any dispute goes to the Court of First Instance of Curaçao (Gerecht in Eerste Aanleg van Curaçao). If you're a consumer, you keep any mandatory rights the law of your home country gives you.

Before going to court, please contact us so we can try to resolve it together.

In plain words: Curaçao law applies. Talk to us first. Most things can be sorted out that way.

14. Changes to these terms

We may update these terms. The date at the top shows the latest version. If a change is significant, we'll email organizer account holders at least 30 days before it takes effect. If you keep using the Service after that, you accept the updated terms.

In plain words: If the rules change, the date changes. Organizers get notice for big changes.
